This is part of the N-2 registration:
"Harris & Harris Group, Inc., is a venture capital company specializing in tiny technology that operates as a business development company under the Investment Company Act of 1940."
"We are an internally managed investment company; that is, our officers and employees, rather than an investment adviser, manage our operations under the general supervision of our Board of Directors. Our investment objective is to achieve long-term capital appreciation, rather than current income, by making venture capital investments in early-stage companies. Our approach includes patient examination of available early stage opportunities, thorough due diligence and close involvement with management."

One called Global Real Estate Income Opportunities.
Of more interest to me is why the underwriters of AWP pulled all of the information about the fund (except the prospectus) three weeks ago from the Alpine website. Any ideas, grey beards? I say "underwriters" because it's a fact. One can still find what was pulled through Google, but as far as the website, it's gone.

The one which is different then the others is
IRON LEAF CAPITAL CORPORATION.
This is a company that I never heard before.
This new CEF is concentrating on the environment.
They will have portfolio investments in companies
which they define has a positive impact, classified as Socially Responsible Investments.
Here are their three main sectors they will focus on:
Healthy Living - natural and organic foods, supplements, personal care, alternative medicine, medical devices, health technology and services, health and fitness and education.
Environmental Services - environmental remediation, as well as technologies and services related to environmental remediation, green pricing programs, carbon offsets, and waste-saving products and technologies, including recycling.
Sustainable Economy - green building, alternative energy sources and fuels, eco-tourism, hybrid vehicles, fair trade and living wage products and services, home furnishings and supplies, natural pet products, cleaners, and apparel, and technologies that provide energy savings through improved efficiency or processes.
I will be watching this CEF, it is
concentrating on environmentally friendly companies.
I think it has a good economic growth, and I believe
this is critical for us and the plant.
Best wishes

I almost fell off my chair when I saw that one.
There will be no more wondering about which CEF will turn into the next CLM or CRF. Whether Ralph Bradshaw succeeds in getting himself elected to the PBF board makes no difference. The next CLM or CRF is on the horizon in the form of a new Cornerstone IPO.
This one will also pay level rate distributions without regard to net investment income.
Nice find Thomas, and thanks again for bringing us the latest in IPO filings.

First and foremost, I'm not a grey beard. LOL!
Second, why would you expect them to keep the red herring on the website? A red herring is distributed/available only for IPOs, not for stocks, CEFs, etc already trading publicly. The correct and most current data is provided by the prospectus.

Susan

I don't understand your point about a "red herring" concerning AWP pulling all of the information about the offering three weeks prior to the IPO when this was not done with either the AGD or AOD IPO.

Since AWP still had not yet IPO'd at the time of your post #4, I could only conclude that the information provided was
-1- very general and/or
-2- merely the
red herring provided in an IPO to prospective investors.
Once an IPO has come to pass, the red herring aka preliminary prospectus is obsolete and an actual prospectus with more complete data is made available to the public.
An issuing company cannot actively solicit investors. Exactly
how they are legally allowed to drum up business for an IPO is like walking a fine line. This applies to ALL issuers of all types... bonds, stocks, ETFs, CEFs and OEFs, etc. IMO, internet access to company websites makes it even more difficult for them to define what and
when any information, however vague (ie red herrings), is allowed to be placed on their websites.
Some companies prefer to interpret the laws in the very strictest sense. For example, even when I knew MAPIX Matthews Asia Pacific Equity Income's IPO was imminent, the matthewsfunds.com site didn't even have a whisper that the fund existed. When I called to confirm why they had not even a blurb about it on the site, I was told that they could give general replies to direct unsolicited questions and nothing else.
I hope this clarifies my #14 reply. If you found it condescending, that was not my intent.
Regards,
Susan

Hi Susan.
Alpine removed all of the investor information about AWP (the "investor piece") including the red herring from their website three weeks before the IPO due to a decision by Merrill Lynch. ML was concerned about individual investors' (!) having access to the IPO materials outside ML's and the rest of the syndicate's control, i.e., they prefer that materials are delivered by the individual's financial advisor to ensure delivery of the red herring and not just the "investor piece."
The final N-2 (with the final prospectus) was approved April 26.
I posted my question after noting that all of the information about AWP was pulled, didn't know why, and had never seen this occur before regarding a website posting IPO material. It had become a "tabula rasa." At first I thought that something was wrong with their website! But the last laugh is now on me -- "mort de rire."
Thanks for your reply and the additional information. And no, I didn't think that the reply was condescending. I was just confused about the whole issue, moot now, but nonetheless still a good learning lesson for me.
It was good to hear from you. Take care,
Denny

referencing EOD, or is this another new Evergreen Fund?
Not a whole lot of creativity in the new funds--many are copycatting what appears to be working in the IPO market--either tax-advantaged dividend income (usually with a kicker of DC or CC writing) and world real estate.

Evergreen Diversified Income Opportunities FundERV will be a monthly payer.
As you said, doesn't look like anything "new" strategy wise.
Principal Investment Strategies
Under normal market conditions, the Fund will pursue its investment objectives by investing in a wide variety of income-producing securities selected by the Advisors to create a diversified portfolio offering attractive current income and the potential for growth of capital. The Advisor will use both a "top-down" and "bottom-up" approach in managing the Fund. The Advisor will consider global economic, financial, and political conditions in order to identify geographical or industry sectors that it believes are likely to experience favorable growth rates. The Advisor will then perform detailed analysis on specific companies, and on the securities offered by those companies - common and preferred stocks, convertible securities, debt securities - in order to construct a portfolio of companies and securities that it believes offers attractive current income and the potential for growth of capital. The Advisor will typically attempt to identify industries growing at rates above historical or anticipated long-term economic growth rates and out-of-favor industries that it believes may be positioned to experience favorable rates of growth. The Advisor looks for companies that exhibit characteristics such as, for example, market leadership, strong management, and a defensible business niche within a particular industry.
The Fund may take advantage of the full range of investments that may offer opportunities for current income and/or growth of capital. These investments will include investment grade debt securities, common and preferred stocks, and securities convertible into common and preferred stocks. The Fund will normally invest in debt securities rated below investment grade, write call and put options on securities or groups of securities and on indices, and use various other derivatives strategies. A portion of the Fund's investments in debt securities will likely include mortgage-backed securities, including collateralized mortgage obligations, and various structured products, such as CBOs and CLOs, selected by the Sub-Advisor. Allocation of the Fund's portfolio among different types of securities or other instruments will depend on the Advisor's investment outlook, including its evaluation of the potential benefits and risks of those securities and other instruments.

The Fund's investment objective is to achieve total returns in various market conditions without excessive risk of capital. Total returns are a combination of income and gains.
will invest primarily in debt or equity securities of companies (both domestic and foreign)
in anticipation of significant events, such as leveraged buyouts, management buyouts, going private transactions, corporate reorganizations involving stubs, spin-offs,liquidations and recapitalizations, and arbitrage transactions, including but not limited to,capital structure arbitrage, pair trades, and merger arbitrage. The Fund may also invest in debt and equity securities of companies (both domestic and private) involved in publicly
announced mergers, takeovers, tender offers and leveraged buyouts and,to a lesser extent, in corporate reorganizations involving stubs, spin-offs and liquidations. The key determinants of the profitability of many of these transactions are the probability that the deal will close,
the length of time to closing, the likelihood that the deal price will be increased or decreased and the level of short-term interest rates. The Fund's investment objective is not fundamental and may be changed by the Fund.

Just wanted everyone to note that there has been over $27 bn in new funds issued through the end of October this year, mostly in the earlier part of the year. That compares to only $8 bn last year. Will there be a sell off at year-end?

If you are referring to tax loss selling on some of the 2007 crop of CEF IPOs then I would say yes, I expect quite a few to present good buying opportunities.
The $27 billion you mentioned was spread over 37 IPOs this year.
For a full list try this link from the CEFA web site.

I sure pity the suckers that will buy into the IPO of the GLOBAL REAL ESTATE INVESTMENTS FUND.
First, it is being pedaled in $1000 certificates comprised on a "variable number of shares" beginning at $10 per share. That's a big red flag as far as I'm concerned.
Second, the sales load on the IPO is a staggering 8.5%! That's unheard of in today's market. I think I paid 8% on broker commissions back in the early 70s, if I'm remembering it right.
The CEF will be a rare "Interval Fund" with annual share repurchases of at least 5% and continuous offerings of shares.
Finally, the fund says:
"The Board of Trustees intends
to consider the conversion of the Fund to an open-end investment company
or the listing of the Fund’s shares on a national stock exchange
by December 31, 2015."
So, an interesting fund indeed. Should be fun to watch this one develop.
As always, thanks to Thomas for the heads up on the SEC filing. Much appreciated.
Happy holidays to all,
Steve

I'll be interested in the ING IDE Infrastructure fund once it gets past the IPO stage. Infrastructure as a play, especially in the EM world looks decent. This one will have pretty broad definition including transport and telecommunications so is quite broad. It will also sell calls on up to 1/3 of its holdings, so should be extra income, if limiting the upside in a real market surge.
I sold MFD, which was my play here, as it had started getting beaten up pretty well and the price had risen to 10% premium. I made a nice gain and got the distys while I held it. May buy it back when it looks to maybe have hit a bottom and if it goes back to a discount.

Thanks Thomas!
This CEF will plug a big coverage gap in my portfolio. Believe it or not, I have zero investments in Albania.
Now, if I can only find one that is over weighted in Myanmar, I'd be set!

Steve,
It is good you did not mentioned the United Arab
Emirates,
Kuwait or Bahrain which are this listed there.
Their neighbors from Dubai, The Dubai Fund handed 11 Billion dollars to Citygroup to save them.
